Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and Soulshift360 SRL, a company registered in Romania (the "Company," "we," "us" or "our"), governing your access to and use of the Soul Shift 360° website, mobile applications, and all related services (collectively, the "Service").

By creating an account, downloading the app, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Wellness Disclaimer, and our Refund Policy. If you do not agree to any of these, do not use the Service.

You must be at least 18 years old to use Soul Shift 360°. By using the Service, you represent and warrant that you are at least 18 and have the legal capacity to enter into a binding contract.

You may not use the Service if we have previously terminated your account or if you are barred from receiving it under applicable law.

To access most of the Service, you need to create an account. You agree to provide accurate, current, and complete information at sign-up and to keep it updated.

You are responsible for safeguarding your password and for any activity that occurs under your account. Notify us immediately at contact@soulshift360.com if you suspect any unauthorised use.

Each account is for a single individual. You may not share your account credentials or resell access to the Service.

Soul Shift 360° is a personal-development and spiritual-wellness platform organised around three tiers:

Soul Signature™ (free) — a personalised identity reading generated from the details you provide.

Reality Recode™ (paid subscription) — a six-step identity transformation cycle, the Activation Vault™ practice library, and related features.

Higher Self Concierge™ (paid subscription) — everything in Reality Recode plus 24/7 AI-powered guidance and additional personalised content.

Significant parts of the Service are AI-generated. Read the Wellness Disclaimer before using the Service.

The Service is delivered as-is and may evolve. We reserve the right to add, modify, suspend, or discontinue features at our reasonable discretion. If a change materially reduces the value of a paid plan, contact us — we will work with you in good faith to offer a reasonable remedy, which may include a pro-rated refund or credit at our discretion.

Paid tiers (Reality Recode™ and Higher Self Concierge™) are offered on a recurring subscription basis. You may choose weekly, monthly, or annual billing. Subscriptions are purchased inside the mobile app only.

Payment processor. All payments are processed by Stripe. When you start a paid subscription, you authorise Stripe to charge your chosen payment method for the subscription fee at the start of each billing period.

Auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current price, unless you cancel at least 24 hours before the next renewal. Before annual renewals — and before the first paid period that follows any free trial — we will send you a renewal reminder by email, as required by applicable consumer law (including EU and California auto-renewal rules).

Cancelling. You can cancel any time from your account settings inside the app, or by emailing us at contact@soulshift360.com. After cancellation you keep access until the end of the current billing period; you are not charged again.

Price changes. We may change subscription prices. Any change applies only from the next renewal period and we will give you at least 30 days' notice by email or in-app before it takes effect.

Refunds. See our Refund Policy for full details on cancellation, the EU 14-day right of withdrawal, and how refunds work.

Taxes. Prices shown are inclusive or exclusive of VAT and other applicable taxes as indicated at checkout. Where the law requires us to collect a tax, it will be added or shown separately at that point.

You retain ownership of any text, voice recording, journal entry, or other material you submit to the Service ("Your Content").

By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free licence to use, store, process, transmit, and display Your Content solely as needed to operate the Service for you — for example, to generate your personalised reading, run your cycles, power the Concierge, and back up your data. This licence ends when you delete the relevant content or your account, subject to the retention exceptions described in the Privacy Policy.

We do not use Your Content to train AI models, sell it, or share it with third parties for their independent use.

You represent and warrant that Your Content does not violate any third-party rights, any law, or these Terms.

All elements of the Service that are not Your Content — including the Soul Shift 360° name and logo, the framework, the trademarks "Soul Signature™," "Reality Recode™," "Higher Self Concierge™," "Activation Vault™", the visual design, the generated readings and meditations, the underlying software, and any other content we provide — are owned by Soulshift360 SRL or our licensors and are protected by intellectual-property laws.

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Service for your own non-commercial personal-development use.

You may not copy, reproduce, modify, distribute, sell, license, publicly display, create derivative works of, or otherwise exploit any part of the Service or its content, except as expressly permitted by these Terms or by applicable mandatory law.

You agree not to use the Service to:

— violate any law, regulation, or the rights of any third party;

— impersonate any person or misrepresent your affiliation with any person or entity;

— attempt to gain unauthorised access to the Service, other users' accounts, or our systems;

— reverse-engineer, decompile, scrape, or extract source code or proprietary content from the Service except as permitted by applicable mandatory law;

— interfere with or disrupt the integrity or performance of the Service (including via bots, denial-of-service attempts, or excessive automated requests);

— use the Service or any of its content to train any third-party machine-learning model;

— use the Service for any commercial purpose, including reselling, sublicensing, or republishing the content;

— submit content that is unlawful, harassing, hateful, threatening, fraudulent, or contains malware.

We may suspend or terminate accounts that materially violate this section, after notice where reasonably possible.

Soul Shift 360° relies on third-party sub-processors — including AI providers (such as OpenAI and Anthropic), Stripe as our payment processor, cloud and hosting providers (such as MongoDB Atlas), and email-delivery providers — to operate the Service. A full list of sub-processors is available on request.

Your use of these third-party services may be subject to their own terms. We are not responsible for the policies, conduct, or content of any third-party provider, except as required by GDPR or other applicable law.

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties of any kind, whether express, implied, or statutory — including (but not limited to) warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

Without limiting the above, we do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses; that AI-generated content will be accurate, complete, appropriate, or suitable for any particular need; or that the Service will produce any particular outcome.

Significant parts of the Service are AI-generated, as described in the Wellness Disclaimer. Read it carefully — it explains what the Service is for, what it is not, and when to seek professional help.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable mandatory law (including consumer-protection law).

Subject to the preceding paragraph, and to the fullest extent permitted by law, in no event will Soulshift360 SRL, its affiliates, founders, officers, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising from or related to your use of (or inability to use) the Service.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Service is limited to the greater of (a) the total amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred euros (€100).

This cap does not apply to liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or to any other liability that cannot be excluded or limited under applicable mandatory law.

You agree to defend, indemnify, and hold harmless Soulshift360 SRL and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your misuse of the Service; (b) Your Content; (c) your material violation of these Terms; or (d) your violation of any third-party right.

You may stop using the Service and delete your account at any time from your account settings or by emailing us.

We may suspend or terminate your access where you materially breach these Terms, where we reasonably suspect fraud or abuse, where required by law, or where continued provision of the Service would expose us or other users to legal or safety risk. Where reasonably possible we will give notice before suspending or terminating.

Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnity, and governing law) will survive.

We may update these Terms from time to time. If a change is material, we will notify you by email or in-app at least 14 days before it takes effect. Continued use of the Service after a change becomes effective constitutes your acceptance of the updated Terms. If you do not accept the change, you may stop using the Service and cancel your subscription.

These Terms are governed by the laws of Romania, without regard to its conflict-of-laws rules. Any dispute arising out of or in connection with these Terms or the Service will be brought exclusively in the competent courts of Bucharest, Romania.

If you are a consumer resident in the European Union, you retain the protection of the mandatory provisions of the consumer-protection laws of your country of residence, and you may bring proceedings in your local courts where applicable law so permits.

EU consumers can also use the European Commission's Online Dispute Resolution platform. We are not currently obliged to, and do not commit to, participate in alternative dispute resolution before a consumer arbitration body.

These Terms (together with the documents linked from them) constitute the entire agreement between you and Soulshift360 SRL regarding the Service and supersede any prior agreement between us on the same subject matter.

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right or provision is not a waiver of that right or provision.

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, or sale of all or substantially all of our assets.
